Major retail sale: 3-letter supermarket chain to acquire CarrefourSA

Sabancı Holding and Carrefour have reached an agreement to transfer their combined 89.28% stake in CarrefourSA to Yeni Mağazacılık AŞ, the owner of the A101 supermarket chain.

According to a joint statement by the parties, the share transfer agreement was signed on April 17, 2026. The transfer includes Sabancı Holding's 57.12% stake and the 32.16% stake held by Carrefour Nederland BV, part of the Carrefour Group.

With the completion of this transaction, shares corresponding to 89.28% of CarrefourSA's capital will pass under the control of Yeni Mağazacılık AŞ.

According to the agreement, the transfer will be carried out based on a company valuation of 325 million dollars. The final share price will be determined based on net debt and working capital adjustments at the closing date.

The completion of the share transfer is subject to the fulfillment of all necessary closing conditions, primarily the approval of the Competition Board. With the conclusion of the process, the partnership between Sabancı Holding and the Carrefour Group in CarrefourSA will come to an end.
