Peker Holding: Management control of Peker GYO passed to Tera Group in February

Peker Holding has announced that the process regarding the transfer of shares in Peker Gayrimenkul Yatırım Ortaklığı A.Ş. (Peker GYO) to Tera Yatırım Holding A.Ş. has been completed. The holding company reported that management control passed to the Tera Group as of February 27, 2026.

In a statement signed by Peker Holding Chairman of the Board Hasan Peker, it was noted that the share purchase agreement regarding the transfer of Peker GYO shares owned by Hasan Peker was signed on July 28, 2025. According to the statement, the transfer procedures were officially completed on February 27, 2026, following the approval of the Capital Markets Board (SPK).

The holding company stated that the sale price was determined based on the real value of the assets owned by the company, rather than the market value on the stock exchange.

All shares sold within the scope of the transfer have been transferred to Tera Yatırım Holding A.Ş., and since the date of the transfer, no repurchases have been made by Hasan Peker or Peker Holding in Peker GYO shares, nor has a single share been re-acquired.

The statement further emphasized that, apart from the aforementioned share sale transaction, neither Hasan Peker nor Peker Holding has any partnership, commercial, or corporate relationship with Tera Yatırım Holding, the Tera Group, or their subsidiaries. It was noted that the proceeds from the share sale were used for investments in industrial companies within Peker Holding and for the financing of new investments.

Clarification was also provided regarding the continued use of the "Peker" name in the company title. Accordingly, the decision to change the title to "Tera Gayrimenkul Yatırım Ortaklığı A.Ş." was announced on October 31, 2025, and an application for the amendment of the articles of association was submitted to the SPK on November 7, 2025.

Peker Holding reported that the name "Peker" continues to appear in the company title because the application has not yet been finalized, and that all stages of the process have been shared via the Public Disclosure Platform (KAP).
