Sabancı Holding heads for a major sale: $1.1 billion deal

Sabancı Holding has reached an agreement to transfer its shares in its key construction sector subsidiary, Akçansa, to Heidelberg Materials AG. The finalization of this major sale is pending the completion of regulatory approval processes.

Sabancı Holding, one of Turkey’s long-established companies, has taken a step toward transferring its shares in Akçansa Çimento Sanayi ve Ticaret A.Ş., initiating a significant transformation in its building materials operations. In a public disclosure, it was announced that Germany-based Heidelberg Materials AG has decided to purchase Sabancı Holding’s shares in Akçansa by exercising its right of first refusal, which is fixed in the existing shareholders' agreement.

This development followed a binding offer received by Sabancı Holding on January 28, 2026. The offer was made based on a total enterprise value of 1.1 billion US dollars. Heidelberg Materials, the other main partner of Akçansa, decided to evaluate this offer and notified Sabancı on April 17, 2026, that it would exercise its right of first refusal.

With the realization of the sale, all of Sabancı Holding’s shares in Akçansa, which have a nominal value exceeding 76 million TL and represent a 39.72 percent stake, will pass to Heidelberg Materials. The amount to be paid will be finalized based on the share ratio, following adjustments for debt and cash.

A new era will begin at Akçansa following the transfer process. Consequently, Heidelberg Materials’ stake in the company will rise to 79.44 percent, and its voting rights in the company will increase to the same level. The completion of the transfer transaction will require the approval of the Competition Authority and relevant legal regulators.

Heidelberg Materials officials emphasized that the transfer procedures will be conducted in full compliance with Capital Markets Legislation and stated that they will share all developments with the public in a transparent manner. The parties expect the sale to be completed following the conclusion of the legal processes.

With this sale, the partnership journey in Akçansa, which has been a key subsidiary of Sabancı Holding for years, will come to an end.
