SPK issues suspension of operations decision for Tera Yatırım
The Capital Markets Board (SPK) released a series of decisions regarding capital markets in its weekly bulletin. While the operations of Tera Yatırım Menkul Değerler AŞ have been temporarily suspended, the capital market licenses of three individuals have been permanently revoked. It was decided to make interim payments of up to 1 million TL to investors in liquidated funds, approval was granted for Hektaş's capital increase via private placement, and administrative fines exceeding a total of 3.2 million TL were imposed on Borlease Otomotiv and its executives.

According to the decision in the Capital Markets Board's (SPK) weekly bulletin, all capital market operations of Tera Yatırım Menkul Değerler AŞ have been temporarily suspended.
It was reported that the decision entered into force as of 18:10 on September 30, 2026.
The SPK also decided to permanently revoke all capital market licenses held by Tera Yatırım CEO Emir Münir Sarpyener, Hakan Gövdere, and Hayriye Car, who were identified as responsible for transactions within the institution that violated regulations.
INTERIM PAYMENT PROCESS FOR FOUR PORTFOLIO COMPANIES' FUNDS
An interim payment application has been initiated for investors in funds established by Tera Portföy, Pusula Portföy, Atlas Portföy, and Hedef Portföy, whose liquidation has been decided.
Interim payments will be made to participation share owners whose entitlement reconciliation has been completed, to be deducted from the final liquidation result.
The net investment amounts calculated by the Central Securities Depository (MKK) will be taken into account for the payments. For investors whose net investment amount is below 1 million TL on the payment date, the entire calculated amount will be transferred.
For investors with a net investment amount of 1 million TL or more, a maximum of 1 million TL will be paid within the scope of the interim payment.
MONEY MARKET FUNDS WILL BE PRIORITIZED
In the first phase of the interim payment application, priority will be given to money market funds.
No share returns will be collected from investors in exchange for the interim payment to be made. Share returns will be evaluated within the scope of the netting to be carried out during the final liquidation process of the funds.
In the liquidation of funds established by A1 Capital Portföy, Bulls Portföy, and Pardus Portföy, priority will be given to funds that include the phrase "money market" in their title and have a higher number of investors.
SOME FUNDS MAY BE REOPENED FOR TRADING
The way has also been left open for other funds that are not included in the liquidation scope but were previously closed to buying and selling transactions to be reopened for trading.
These funds may be reopened for trading by portfolio management companies by evaluating their liquidity and portfolio conditions.
SPK APPROVAL FOR HEKTAŞ'S CAPITAL INCREASE
The SPK bulletin also included the capital increase decision regarding Hektaş Ticaret Türk AŞ.
Approval was granted for the company to carry out a capital increase via private placement in exchange for the capital advance of 2 billion 380 million TL paid by the OYAK General Directorate.
It was decided that the share price in private placements should not be lower than the higher of the 3.39 TL sale price applied on June 25, 2026, or the base price to be determined in accordance with Borsa İstanbul rules.
FINE FOR BORLEASE OTOMOTİV AND ITS EXECUTIVES
An administrative fine totaling 3 million 283 thousand 402 TL was imposed on Borlease Otomotiv AŞ and its company executives due to the failure to publish reports regarding public offering price assumptions on time or at all.
The distribution of the fines is as follows:
- Borlease Otomotiv AŞ: 739,534.41 TL
- Sarper Volkan Özten: 739,534.41 TL
- Azmi Yalçın: 739,534.41 TL
- Özgür Cem Hancan: 155,567 TL
- Müge Çetin: 155,567 TL
- Fehmi Sertdemir: 155,567 TL
- Murat Timur: 155,567 TL
- Murat Şahin: 155,567 TL
The issue of whether the administrative fine imposed on the company will be recourse to the responsible board member will also be voted on at the first general assembly meeting to be held.
ACCESS BLOCK FOR THREE WEBSITES
Legal action has also been initiated by the SPK regarding three websites determined to be operating in capital markets without the necessary authorization.
It was decided to initiate the necessary procedures to block access to the addresses "aktifkurumsalyonetim.com", "referansaktifmenkul.com", and "aktifmenkulcapital.com".
