High-level changes at Sözcü and Sözcü TV

Mustafa Asım Akgül, who has served as General Manager of Sözcü Media Group since its inception, has been removed from the management level.

According to information obtained by MedyaRadar from trade registry records, significant management and capital changes have taken place at Estetik Yayıncılık A.Ş., the owner of Sözcü Newspaper, and Mega Ajans A.Ş., which houses Sözcü Television.

NEW MANAGEMENT STRUCTURE ESTABLISHED

According to the records of the Istanbul Trade Registry Directorate, Estetik Yayıncılık A.Ş. underwent a comprehensive renewal in both its management staff and capital structure with the registration made on October 10, 2025.

BURAK AKBAY’S WIFE IN MANAGEMENT

In the new structure, Eda Narin Akbay was elected as Chairperson of the Board of Directors to serve until October 1, 2028. With this change, the board membership and representation authority of the previous chairman, Mustafa Asım Akgül, have ended.

NEW REPRESENTATION AUTHORITIES DEFINED

The names authorized to represent the company in the new term have also changed:

• Eda Narin Akbay has been granted individual representation authority as a Board Member.
• İsmail Öz has been appointed as an authorized signatory until December 1, 2025.
• Yonca Yücekaleli has been appointed with joint representation authority until the same date.

Thus, all responsibilities of Mustafa Asım Akgül, who previously held both the position of Chairman of the Board and authorized representative, have come to an end.

NOTABLE INCREASE IN CAPITAL

With the regulation made in the company's capital, the total capital was increased to 802 million 350 thousand TL.

It was reported that the entire new capital, consisting of 8 million 23 thousand 500 shares with a nominal value of 100 TL each, belongs to the Switzerland-based Beme Media AG.

It was announced that the previous capital of 2 million 350 thousand TL had been fully paid, the increased 800 million TL was covered from previous years' profits, and it was decided to distribute bonus shares to shareholders.

CHANGES ALSO AT SÖZCÜ TV

According to the data of the Istanbul Trade Registry Directorate, Mega Ajans ve Reklamcılık Ticaret A.Ş., the owner of Sözcü Television, also renewed its management structure and decided on a capital increase with the registration dated October 8, 2025.

NEW BOARD OF DIRECTORS AND APPOINTMENTS

In the management of Mega Ajans, Eda Narin Akbay was determined as the Chairperson of the Board of Directors to serve until October 1, 2028.

With this change, Mustafa Asım Akgül's board membership and representation authority were completely removed.

NEW SIGNATORY AUTHORITIES

The new authorities appointed on behalf of the company are as follows:

• Eda Narin Akbay has been granted individual representation authority.
• İsmail Öz has been appointed as an authorized signatory until December 1, 2025.
• Yonca Yücekaleli has been appointed as a joint authorized signatory until the same date.

CAPITAL STRUCTURE RENEWED

By the decision of the general assembly, the capital of Mega Ajans was increased to 165 million TL.

The new capital consists of 14 million 680 thousand registered shares, each with a nominal value of 5 TL.

It was recorded that 35 million 966 thousand TL of these shares belong to Estetik Yayıncılık A.Ş., and 37 million 434 thousand TL belong to Burak Akbay.

The previous capital of 650 thousand TL was increased by 164 million 350 thousand TL to 165 million TL.

It was stated that the increased portion was covered from the receivables of the company partners, a capital reduction of 91 million 600 thousand TL was made to cover the loss in the balance sheet, and as a result of this transaction, the total capital was determined as 73 million 400 thousand TL.
