A101 acquires CarrefourSA

Yeni Mağazacılık A.Ş., which operates in all 81 provinces of Turkey with its A101 stores, has reached an agreement with Sabancı Holding and Carrefour to acquire CarrefourSA, one of the leading companies in the organized retail sector.

A101 acquires CarrefourSA

The Share Transfer Agreement regarding the matter was signed on April 17, 2026, and the share transfer covers Sabancı Holding's 57.12% stake in the company as well as the 32.16% stake held by Carrefour Nederland BV, a subsidiary of the Carrefour Group. Upon completion of the transaction, shares corresponding to a total of 89.28% of CarrefourSA's capital will come under the control of Yeni Mağazacılık A.Ş.

Under the agreement signed between the parties, the transfer will be carried out based on a company valuation of 325 million dollars, with the final share price to be calculated according to net debt and working capital adjustments at the closing date. The transfer procedures will be completed subject to the fulfillment of all closing conditions, including obtaining the necessary approval from the Competition Board; thus, neither Sabancı Holding nor the Carrefour Group will retain any shares in CarrefourSA.

Board Member Erhan Bostan emphasized that the transaction is an important part of their long-term growth strategy, stating, "With our widespread store network across Turkey, strong supply chain, and focus on operational efficiency, we prioritize creating sustainable value in the organized retail sector. This approach encompasses not only growing our existing operations but also creating new growth areas through different business models and formats. In this context, we believe that combining CarrefourSA's deep-rooted history and strong store network with our group's retail experience offers significant potential. It is envisioned that A101 and CarrefourSA will continue their operations independently under different management structures, in separate segments, and by maintaining their own brand identities. Accordingly, our primary goal is to work together with all our stakeholders to ensure strong and sustainable growth in the business areas where CarrefourSA operates and to create a diversified retail structure that reaches a wider customer base."
