Approval granted to Koç Holding for Kalamış Marina

Koç Holding has cleared another significant hurdle in the Fenerbahçe-Kalamış Marina tender. In a statement to the Public Disclosure Platform (KAP), the company announced that the Competition Board has approved the tender. This approval was granted for transactions carried out through Tek-Art Kalamış ve Fenerbahçe Marmara Turizm Tesisleri A.Ş. (Tek-Art), in which Koç Holding holds approximately a 75 percent stake.

In a previous material event disclosure on July 29, 2025, Koç Holding stated that a Share Purchase Agreement had been signed between Tek-Art and Yıldız Holding A.Ş. and Sağlam İnşaat Taahhüt Ticaret A.Ş. (Sağlam İnşaat), and that this transaction was subject to Competition Board approval. The agreement covered the purchase of shares representing 50% of the capital of MCI Turizm Marina Yat ve Çekek İşletmesi A.Ş. (MCI) from Sağlam İnşaat, and the remaining 50% of the shares representing the capital of RAM Turizm Marina Yat ve Çekek İşletmesi A.Ş. (RAM) from Yıldız Holding A.Ş.

WHAT HAPPENED DURING THE TENDER PROCESS

After the tender held in 2021 for the Fenerbahçe-Kalamış Marina was cancelled, a new tender was organized by the Privatization Administration on July 16, 2024. Vahit Karaaslan, who submitted the highest bid in this tender, did not sign the contract despite his 505 million dollar offer. Following this, Koç Holding won the tender with a bid of 504 million dollars.

With the approval of the Competition Board, another important step has been taken in the process of Koç Holding taking over the marina operations. While efforts to complete the closing conditions continue, significant developments regarding the process will be announced to the public.
