The Capital Markets Board (CMB) has decided to remove Tera Yatırım's applications for debt instrument issuance, private placement capital increase, and capital increase from internal resources from processing.
According to the statement made by Tera Yatırım to the Public Disclosure Platform (KAP), the Board evaluated the three separate applications by taking into account current conditions and uncertainties. The company reported that the decision was taken within the scope of the first paragraph of Article 96 of the Capital Markets Law and the provisions of the relevant legislation.
The first of the applications removed from processing was the company's debt instrument issuance request dated September 9, 2025. This application covered the issuance of debt instruments of up to 19 billion liras to be sold to qualified investors without a public offering in the country.
The second application that the CMB excluded from evaluation was the private placement capital increase request dated March 17, 2026. In the aforementioned application, it was aimed to completely restrict the pre-emptive rights of existing shareholders and to generate 50 billion liras in sales revenue through a private placement sale to company shareholder Emre Tezmen.
The Board also removed Tera Yatırım's application for a capital increase from internal resources, made on May 20, 2026, from processing. This request envisioned increasing the company's capital from 700 million liras to 28.7 billion liras, with a 4,000 percent increase to be covered from the 2025 net period profit, and the related amendment to the articles of association.
