Hepsiburada transfers shares to Kaspi.kz: A new era begins
Hepsiburada has announced to NASDAQ that it has transferred 65.4% of its shares to the Kazakhstan-based company Kaspi.kz. Under the $1.127 billion agreement, the company will continue its operations while maintaining its independent brand identity. An Extraordinary General Assembly to determine the new management will be held on January 31.
Hepsiburada has announced to the NASDAQ Stock Exchange that it has transferred 65.4% of its shares to the Kazakhstan-based company Kaspi.kz. Following the share purchase agreement signed on October 17, 2024, the approval processes of the Competition Authority, the Banking Regulation and Supervision Agency (BDDK), the Information and Communication Technologies Authority (BTK), and the Central Bank of the Republic of Turkey (TCMB) were completed in recent weeks.
Under the total $1.127 billion agreement, a payment of $600 million was made in cash, while the remaining $526.9 million will be paid within six months. According to the agreement, Hepsiburada and Kaspi.kz will continue their operations while maintaining their existing brand identities and operational structures.
GENERAL ASSEMBLY ON JANUARY 31
Following the share transfer, an Extraordinary General Assembly meeting will be held on January 31, 2025. At this meeting, the new Board of Directors will be determined, and the appointment of Kaspi.kz representatives Mikheil Lomtadze, Tengiz Mosidze, Yuri Didenko, Pavel Mironov, and Sandro Berdzenishvili to the board will be finalized.
