Koç Holding to sell a portion of its shares in Tüpraş
With the sale to be made by Koç Holding and Temel Ticaret to Merrill Lynch International, the free float rate of Tüpraş is expected to rise to 49.7 percent.
Koç Holding and its indirect main shareholder Temel Ticaret ve Yatırım AŞ have decided to sell a total of 16 million 19 thousand 979 TL nominal value of Group A shares they hold in the capital of Tüpraş to Merrill Lynch International.
Within the scope of the sale, Koç Holding will transfer shares with a nominal value of 11 million TL, corresponding to approximately 0.57 percent of Tüpraş's issued capital. Temel Ticaret will offer for sale its shares with a nominal value of 5 million 19 thousand 979 TL, which is approximately 0.26 percent.
A price of 384.50 TL will be applied for each share with a nominal value of 1 TL in the transaction. It is planned that Bank of America Yatırım Bank AŞ will apply to Borsa İstanbul on September 2, 2026, for the transaction, which will be carried out through the wholesale buying and selling method.
Subject to BIST approval, the wholesale sale transaction is expected to take place on September 3, and the settlement is expected to be completed on September 7. It was reported that the shares subject to the sale are currently not traded on the BIST, and it is envisaged that they will be converted into shares traded on the stock exchange as of the transaction date.
Following the completion of the transaction, Koç Holding's direct shareholding ratio in Tüpraş is expected to decrease to approximately 3.7 percent. It was stated that the total share of Koç Holding and its subsidiary Enerji Yatırımları AŞ in Tüpraş will remain at approximately 50.1 percent.
After the sale, the free float rate of Tüpraş is projected to increase to 49.7 percent.
