Merger decision from Koza Altın, Koza Anadolu, and İpek Doğal Enerji

Koza Altın İşletmeleri AŞ, Koza Anadolu Metal Madencilik İşletmeleri AŞ, and İpek Doğal Enerji Kaynakları Araştırma ve Üretim AŞ announced their merger decision in a statement made to the Public Disclosure Platform (KAP).

The following statements were included in the announcement made by Koza Altın İşletmeleri AŞ to KAP:

"Considering our company's long-term strategies and the synergy to be created in the mining and energy sectors, it has been decided to reach an agreement with a consultancy firm for the merger of our Company with Koza Anadolu Metal Madencilik İşletmeleri A.Ş. and İpek Doğal Enerji Kaynakları Araştırma Ve Üretim A.Ş., within the framework of the Capital Markets Law No. 6362, the Capital Markets Board's Communiqué on Common Principles Regarding Significant Transactions and the Right of Exit (Series: II, No. 23.1), the Capital Markets Board's Communiqué on Mergers and Divisions (Series: II, No. 23.2), the Turkish Commercial Code No. 6102, the Corporate Tax Law No. 5520, and other relevant legislation, and to grant the authority to carry out the necessary procedures and sign the contract with the firm to Board Member (CEO) Mahmut Çelik."
