New issuances, administrative fines, and criminal complaints from the CMB

The Capital Markets Board (CMB) has approved the debt instrument issuance applications of 6 companies in its weekly bulletin. The Board also authorized share issuances and lease certificate issuance ceilings for certain companies, while deciding on administrative fines and criminal complaints following its investigations.

New issuances, administrative fines, and criminal complaints from the CMB

The Capital Markets Board (CMB) has announced its decisions regarding the capital market transactions of various companies in its weekly bulletin. While the Board approved the debt instrument issuance applications of 6 companies, it also granted approval for certain share issuances and lease certificate issuance ceilings.

BOND AND FINANCING BILL AUTHORIZATION FOR 6 COMPANIES

According to the CMB's decision, authorization was granted for the issuance of bonds and financing bills, as well as green and sustainable bonds/financing bills and subordinated debt instruments by various companies.

Within the scope of Turkish Lira-denominated issuances;

  • 973 million 750 thousand TL for Çağdaş Faktoring AŞ,
  • 790 million TL for Turk Finansman AŞ,
  • 1 billion TL for Mint Finansman AŞ,
  • 2 billion 500 million TL for Pınar Entegre Et ve Un Sanayii AŞ,
  • Approval was granted to Opet Petrolcülük AŞ for the issuance of bonds, financing bills, and green bonds/bills totaling 250 million TL.

2 BILLION DOLLAR ISSUANCE APPROVAL FOR TEB

Within the scope of foreign currency-denominated issuances, the application of Türk Ekonomi Bankası AŞ for the issuance of bonds and subordinated debt instruments totaling 2 billion dollars was accepted.

APPROVAL FOR SHARE ISSUANCES AND LEASE CERTIFICATES

The Board also approved the applications of Osmanlı Yatırım Menkul Değerler AŞ and Link Bilgisayar Sistemleri Yazılımı ve Donanımı Sanayi ve Ticaret AŞ regarding the share issuances of publicly held partnerships.

Regarding other capital market instruments:

2 billion TL for D Varlık Kiralama AŞ based on a management agreement,

3 billion TL for Yatırım Varlık Kiralama AŞ

a lease certificate issuance ceiling of a nominal amount was granted.

ESTABLISHMENT PERMISSION FOR TWO REAL ESTATE INVESTMENT FUNDS

As part of its new operating permits, the CMB also approved the establishment of two real estate investment funds. In this context, the documents regarding the establishment and issuance of participation shares for the Arz Gayrimenkul ve Girişim Sermayesi Portföy Yönetimi AŞ Eleventh Real Estate Investment Fund and the One Portföy Yönetimi AŞ Second Project Real Estate Investment Fund were accepted.

ADMINISTRATIVE FINES AND CRIMINAL COMPLAINTS

Following the Board's investigations, it was decided to impose an administrative fine of 4 million 435 thousand 27 Turkish Lira and 79 kurus on one company, and 29 million 79 thousand 912 Turkish Lira and 78 kurus on one individual.

Furthermore, as a result of evaluations conducted under the Capital Markets Law, it was decided to file criminal complaints against 13 individuals and the content providers of two websites.
