A new phase has been reached in the process of consolidating public-capital participation finance institutions under a single roof. TVF Katılım Finans Yatırımları AŞ, a 100 percent subsidiary of the Turkey Wealth Fund (TVF), has signed an agreement to acquire all shares of Ziraat Katılım and Halk Katılım.
According to the statement from the TVF, the agreements regarding the share transfer of the two financial institutions were signed on October 7, 2026. While an agreement has been reached to carry out the transfer transactions by paying the relevant amounts, the necessary legal procedures and processes before regulatory authorities for the completion of the process are ongoing.
The Fund stated that it aims to complete the transfers by the end of 2026. Therefore, the signed agreements do not mean that the ownership of the banks has changed hands immediately; the relevant permission and approval processes must be completed for the transactions to be finalized.
The statement noted that the regulation aims to increase the capacity and competitiveness of public-capital participation finance institutions. Strengthening the participation finance ecosystem and increasing the sector's share within financial markets were cited as among the goals.
The planned transaction does not mean a legal merger of Ziraat Katılım and Halk Katılım directly under a single bank roof, but rather the shifting of the shareholding structure to a common roof through a TVF subsidiary. When the process is completed, a change will have occurred in the shareholder structure of the two institutions.
