US technology giant Amazon has announced that it has mutually terminated its agreement to acquire robot vacuum manufacturer iRobot.

Amazon steps back from massive acquisition

In a statement from Amazon, it was recalled that the agreement to acquire iRobot for cash was announced in 2022.

The statement emphasized that while the agreement would have allowed Amazon to invest in iRobot's innovation and enabled iRobot to lower product prices, the failure to obtain regulatory approval from the European Union (EU) prevented the two companies from moving forward together.

The statement noted that the agreement was mutually terminated, and that Amazon and iRobot signed a termination agreement regarding the acquisition, including a previously agreed-upon termination fee.

In the statement, which included comments from Amazon Senior Vice President David Zapolsky, it was pointed out that the termination of the deal would deprive consumers of faster innovation and competitive prices, and he used the following expressions:

"Mergers and acquisitions like this help companies like iRobot compete better in the global market, particularly in fast-moving technology segments like robotics, against companies in countries that are not subject to the same regulatory requirements. Undue and disproportionate regulatory hurdles discourage entrepreneurs, who should see acquisition as one of the paths to success, and this harms the very consumers and competition that regulators say they are trying to protect."

iRobot Founder Colin Angle also emphasized that the termination of the agreement with Amazon was disappointing, but that iRobot would continue to produce thoughtful robots and smart home innovations.

iROBOT TO RESTRUCTURE

Meanwhile, a statement from iRobot announced that a restructuring plan would be implemented to stabilize the company following the termination of the merger agreement with Amazon.

The statement noted that iRobot Chairman and CEO Colin Angle has resigned from his positions, and that Glen Weinstein has been appointed as interim CEO, while Andrew Miller has been appointed as chairman of the board.

The statement indicated that the priority in iRobot's restructuring plan is to align the cost structure more closely with near-term revenue expectations and to increase profitability.

As part of these actions, it was announced that approximately 350 employees, representing 31 percent of the company's workforce, would be laid off, and that notifications regarding the matter would be made by March 30, 2024.

The statement indicated that restructuring charges of approximately 12-13 million dollars would be recorded in the first two quarters of 2024, primarily for severance pay and related costs.
