CMB imposes 71 million lira administrative fine on 3 individuals and 1 legal entity
The Capital Markets Board (CMB) decided in its bulletin dated September 23, 2026, to impose a total administrative fine of 71 million 26 thousand 385 lira on 3 individuals and 1 legal entity.
The CMB's bulletin numbered 2026/64 announced Board decisions regarding capital market instruments, administrative sanctions, and various applications. Accordingly, a total administrative fine of 71 million 26 thousand 385 lira was imposed on 3 individuals and 1 legal entity. The Board also approved the bonus issue certificates for 2 companies regarding capital increases from internal resources totaling 1 billion 650 million lira.
An issuance certificate containing a debt instrument ceiling of 400 million lira for one company was also approved by the CMB. Approval was granted for the issuance certificate of another company containing a lease certificate issuance ceiling of 5 billion lira. Thus, decisions were made regarding a total issuance ceiling and capital increase of 7 billion 50 million lira within the scope of the bonus capital increase, debt instrument, and lease certificate issuance certificates included in the bulletin.
The CMB responded positively to a brokerage firm's request for permission regarding changes in its partnership structure and capital increase, and also approved a company's request for the approval of an announcement text regarding a merger through a simplified procedure, which it will carry out by taking over a company of which it owns all the capital and voting shares.
The Board rejected a holding company's requests for additional time to fulfill the obligation to make a mandatory tender offer to purchase shares belonging to other shareholders of a company, and for the re-evaluation of the tender offer price. The holding company was notified that the tender offer obligation must be fulfilled within the specified period.
The bulletin also reported that a brokerage firm's request for permission to amend its articles of association for the purpose of increasing its capital was met with approval.
