SPK approves IPOs for 2 companies: Access blocked for 12 websites

In its weekly bulletin, the Capital Markets Board (SPK) approved IPOs for two companies, as well as numerous capital increases and bond issuances. The board also imposed administrative fines and filed criminal complaints regarding certain stocks due to market-disrupting activities, and ordered access blocks for websites offering leveraged trading from abroad.

SPK approves IPOs for 2 companies: Access blocked for 12 websites

The Capital Markets Board (SPK) announced in its weekly bulletin that the IPO applications of two companies have been accepted. The capital of Akhan Un Fabrikası ve Tarım Ürünleri Gıda Sanayi Ticaret AŞ will be increased from 218 million 650 thousand liras to 273 million 350 thousand liras following a paid capital increase. In this context, 54 million 700 thousand liras worth of new shares will be issued.

A similar process was followed for Netcad Yazılım AŞ; the company was granted permission to increase its capital from 125 million liras to 137 million liras and to offer 28 million liras in nominal value of shares belonging to existing shareholders to the public.

The SPK did not limit its actions to IPOs. It also gave the green light to paid capital increases for Manas Enerji Yönetimi Sanayi ve Ticaret AŞ and Frigo-Pak Gıda Maddeleri Sanayi ve Ticaret AŞ. Additionally, the application by Smart Güneş Enerjisi Teknolojileri Ar-Ge Üretim Sanayi ve Ticaret AŞ for a bonus capital increase using internal resources was approved.

APPROVAL FOR DEBT INSTRUMENTS AND OTHER BOARD DECISIONS

The Board also approved debt instrument issuances to increase diversity in financial markets. Requests for bond and bill issuances from several institutions, primarily Türkiye İş Bankası's 30 billion lira green and sustainable bond and financing bill issuance, as well as those from Aygaz AŞ, Koç Finansman AŞ, PhillipCapital Menkul Değerler AŞ, and Metgün Enerji Yatırımları AŞ, were accepted.

The issuance of fund shares for the stock pension investment fund of Allianz Yaşam ve Emeklilik AŞ, as well as requests for the establishment of umbrella funds and venture capital investment funds planned by various portfolio management companies, were also among the applications welcomed by the SPK.

Administrative fines were imposed on numerous individuals trading in Kuyaş Yatırım AŞ and Beşiktaş Futbol Yatırımları Sanayi ve Ticaret AŞ stocks due to market-disrupting actions in certain publicly traded shares. Furthermore, it was decided to file criminal complaints with the Chief Public Prosecutor's Offices against individuals held responsible for suspicious transactions in specific company stocks.

On the other hand, all licenses of an individual against whom a criminal complaint was filed due to transactions in Ceo Event Medya AŞ (CEOEM) shares were revoked for the duration of their trading ban. Regarding Pera Gayrimenkul Yatırım Ortaklığı AŞ (PEGYO) shares, a decision was made to file criminal complaints against two individuals, and their licenses were also revoked for the duration of their trading ban.

In other applications, the allocated capital increase of Pasifik Gayrimenkul Yatırım Ortaklığı AŞ was approved with certain conditions. A condition was imposed that the sale price of the company's shares must not be below the determined base price and that they be subject to a one-year lock-up period on the stock exchange.

NEW REGULATIONS ON INVESTMENT FUNDS AND INTERNET ACCESS

Among the significant decisions is the conversion of BBCN Gayrimenkul Geliştirme AŞ into a real estate investment trust. Meanwhile, requests regarding the issuance of participation shares, fund conversions, and the liquidation of investment funds that numerous portfolio management companies intend to establish also received a positive response from the board.

The SPK also ordered the initiation of necessary legal proceedings to implement access blocks for 12 websites identified as offering leveraged trading from abroad.
