Tatilsepeti.com, one of Turkey's leading online travel platforms, has entered a new era. Tera Turizm ve Ticaret A.Ş., operating under the umbrella of Tera Yatırım Holding, has become the indirect owner of the platform by purchasing all shares of DLT Turizm ve Ticaret A.Ş.

According to the statement on the Public Disclosure Platform (KAP), the board of directors' decision regarding the acquisition was taken on October 14, 2025. Within the scope of the process approved by the majority of independent members, the parties signed the Share Purchase Agreement on November 17, 2025.

TRANSFER PROCESS COMPLETED

Following the necessary official permits and approvals, the share transfer was concluded as of January 27, 2026. In the transaction carried out via cash payment, 3.37 euros were paid for each share. It was announced that the total price was 70 million euros.

CAPITAL STRUCTURE OF THE COMPANY

While it was stated that the capital of DLT Turizm ve Ticaret A.Ş. is 20 million 745 thousand TL, the entire company was included in Tera Yatırım Holding with this transaction. Tatilsepeti.com continues its activities in the field of travel agency and online booking.

It was reported that the valuation report prepared for the company was conducted by DRT Kurumsal Finans Danışmanlık Hizmetleri A.Ş. In the report, the value range of Tatilsepeti.com was determined to be between 71.5 million euros and 86.7 million euros. It was shared that the acquisition price remained below this range.
