The financial statement regarding the transfer of CarrefourSA to Yeni Mağazacılık AŞ, the owner of A101, has been finalized. In a statement to the Public Disclosure Platform (KAP), Sabancı Holding announced that the closing accounts have been completed and that it has made an additional payment of 6 million 470 thousand 448.10 dollars to the buyer company.
With this additional payment, the total amount paid by Sabancı Holding to Yeni Mağazacılık as part of its exit from its shares in CarrefourSA reached 91 million 949 thousand 568.10 dollars. Previously, a payment of 85 million 479 thousand 120 dollars had been made on July 31, 2026, when the share transfer was completed.
Sabancı Holding and the Carrefour Group had reached an agreement for the transfer of CarrefourSA shares on April 17, 2026. The agreement covered Sabancı Holding's 57.12 percent stake and Carrefour Nederland's 32.16 percent stake. Thus, it was decided that a total of 89.28 percent of the company would change hands.
The share transfer process was completed on July 31, 2026, following the conditional approval of the Competition Authority. KAP notifications included information that the price per share for the shares transferred by Sabancı Holding was zero TL, and in return, a payment was made to the buyer.
The 325 million dollar figure announced during the sales process represented the total enterprise value of CarrefourSA. However, it was stated that items such as the company's net debt and net working capital at the closing date would be taken into account in determining the final share price. As a result of this calculation, the final share value for Sabancı Holding turned out to be negative.
With the latest KAP statement, the process regarding the closing accounts has also been completed. Following the transaction, Sabancı Holding and the Carrefour Group exited their positions as main shareholders in CarrefourSA, while management control passed to Yeni Mağazacılık.
When the transfer agreement was announced, it was stated that A101 and CarrefourSA were expected to continue their operations in different customer segments, with separate management structures and their own brands.
