Notable balance sheet in CarrefourSA transfer

Closing accounts regarding the CarrefourSA transfer, one of the most notable ownership changes in Turkey's food retail sector this year, have been finalized. In a disclosure made by Hacı Ömer Sabancı Holding to the Public Disclosure Platform (KAP), it was announced that the holding made an additional payment of 6 million 470 thousand 448 dollars to the buyer, Yeni Mağazacılık AŞ.

With this final payment, the total amount paid by Sabancı Holding to the buyer as part of its exit from its shares in CarrefourSA reached 91 million 949 thousand 568 dollars. Yeni Mağazacılık AŞ is known as the parent company of A101.

The process began with an agreement between Sabancı Holding and the Carrefour Group on April 17, 2026, regarding the transfer of CarrefourSA shares to Yeni Mağazacılık. The agreement covered Sabancı Holding's 57.12 percent stake and Carrefour Nederland's 32.16 percent stake. Thus, the transfer of a total of 89.28 percent of CarrefourSA's shares was targeted.

Following the conditional approval of the Competition Authority, the share transfer became official as of July 31, 2026. While the total enterprise value of CarrefourSA was determined as 325 million dollars in the transaction, it was stipulated that the final share price would be calculated by taking into account the net debt and net working capital items on the closing day.

As a result of the closing accounts, since the share value fell into the negative, Sabancı Holding transferred the shares for zero lira and had made a payment of 85 million 479 thousand 120 dollars to the buyer in July. With the final additional payment, the final financial statement for the transaction has also been clarified.

Following the transfer, the partnership between Sabancı Holding and the Carrefour Group in CarrefourSA has ended. While management control of CarrefourSA has passed to Yeni Mağazacılık, A101 and CarrefourSA are expected to continue their operations with their own brand identities by focusing on different customer segments.
