Statement from Tera Yatırım regarding Pusula Finans Holding
Tera Yatırım announced that the planned acquisition process for Pusula Finans Holding and its subsidiaries is continuing in line with the previously disclosed agreement.
Tera Yatırım Menkul Değerler AŞ announced in a statement to the Public Disclosure Platform (KAP) that the process regarding the acquisition of shares in Pusula Finans Holding AŞ, as well as shares in the economic entity consisting of subsidiaries owned by Pusula Finans Holding and its shareholders, is ongoing.
The company recalled that in previous material event disclosures, it was announced that acquisition negotiations had been initiated by Tera Group companies and that an agreement had been reached between the parties on the fundamental commercial and financial terms of the planned share transfer transaction.
The statement noted that a new announcement was deemed necessary to ensure investors are accurately and completely informed due to certain news and developments recently reflected in the public domain. Tera Yatırım stated that these developments are independent of the legal entities, operations, and corporate structures of Pusula Finans Holding and its subsidiaries.
The company emphasized that these developments have not led to any changes in the Tera Group's strategic and financial assessment regarding the planned acquisition. It was stated that the assessment was conducted based on the fields of activity, corporate capacities, financial infrastructures of Pusula Finans Holding and its subsidiaries, and the contributions they could make to the Tera Group's long-term growth strategy.
The statement noted that the planned transaction is part of the Tera Group's strategy to expand its operations in capital markets, portfolio management, investment services, savings finance, and other financial service areas, and to consolidate different financial services under an integrated structure.
The completion of the transaction is subject to obtaining the necessary permits and approvals from the relevant regulatory and supervisory authorities and the fulfillment of other closing conditions agreed upon by the parties.
Tera Yatırım stated that developments regarding the process that are required to be disclosed to the public will be shared with investors within the framework of the provisions of the Capital Markets Board's Communiqué on Material Events No. II-15.1.
