Management of Pusula Finans Holding and Katılımevim passes to Tera Group

An agreement has been reached on the fundamental commercial and financial terms regarding the transfer of Pusula Finans Holding and its subsidiaries to Tera Group. Following the agreement, the process for official permits and approvals has begun, and changes have been made to the management structure of Pusula Finans Holding and its shareholder, Katılımevim.

The scope of the transfer process includes financial institutions such as İktisat Katılım Bankası, Katılımevim, Birevim Tasarruf Finansman, Pusula Menkul, and various portfolio management companies, in addition to Pusula Finans Holding.

Pusula Finans Holding A.Ş. Board members Ahmet Özcan and Serdar Turhan have resigned from their positions. Tera Holding Chairman of the Board Emre Tezmen has been appointed as the Chairman of the Board of Pusula Finans Holding A.Ş.

Erkan Kilimci, Deputy Chairman of Tera Finansal Yatırımlar Holding, has also become a member of the board of directors at Pusula Finans Holding A.Ş. Tezmen and Kilimci have assumed the same roles at Katılımevim. It was reported that the appointments will be submitted for the approval of shareholders at the first general assembly meeting to be held.

APPROVAL PROCESS HAS BEGUN

The development was announced through statements made to the Stock Exchange by Tera Yatırım and Katılımevim. In its statement, Tera Yatırım noted that the management changes represent an important stage in the Pusula Group's new corporate restructuring and the strategic process being conducted with the Tera Group.

The statement noted that the planned transfer aims to combine the capacity of Pusula Group companies in capital markets, portfolio management, investment services, savings finance, and other financial service areas with the financial strength and growth vision of the Tera Group.

Tera Holding Chairman of the Board Emre Tezmen described the process as a "strategic step in the growth journey." Stating that they will continue their management discipline and sense of responsibility in the new companies, Tezmen said, "The most fundamental value for us is trust."

In a statement from Katılımevim, it was expressed that the combination of the Tera Group's growth vision in the field of financial services with the corporate and financial strength of the Pusula Group companies is expected to create a more comprehensive financial structure.

The completion of the transfer transaction will be subject to obtaining the necessary permits and approvals from the relevant regulatory and supervisory authorities and the fulfillment of other closing conditions agreed upon by the parties.
