Arçelik to sell shares to Koç Holding

Arçelik A.Ş. announced in a statement to the Public Disclosure Platform (KAP) that it will sell shares with a nominal value of 48 million TL to Koç Holding A.Ş. This transaction will be conducted within the scope of the Borsa Istanbul "Procedure for Wholesale Purchase and Sale Transactions."

The sale price, set at 108.29 TL per share, was calculated by taking into account the weighted average prices of the last 10 business days. The total sale price was determined to be 5.2 billion TL, and it was announced that the payment will be made in cash and upfront.

FINANCIAL IMPACTS

Arçelik stated that this sale will not affect the income statement but will cause significant changes in the equity structure. The cost of the shares subject to the sale, adjusted for inflation, was announced as 10 billion TL. Following the sale, a decrease of 4.8 billion TL will be recorded in the retained earnings/losses account. Additionally, the 10 billion TL provision tracked under restricted reserves will be released and transferred to retained earnings.

As a result of these accounting transactions, a net increase of 5.2 billion TL is expected in Arçelik's total equity and retained earnings. The final effects of the transaction on the financial statements will be disclosed in the 2025 year-end financial reports.
